Online Event Participation Waiver
For you to be able to participate in any Event, Classes, Workshops, or receive any other Services from The Quiet Room Inc. You must agree to this Waiver set out below, and by participating in the Event, you agree that such participation shall be subject to this Waiver.
INTERNATIONAL WAIVER TERMS AND CONDITIONS ENGLISH
1. For the purposes of this Waiver, references to “we,” “our” “us” or “The Quiet Room Inc” or TRQ shall be to The Quiet Room Inc. liability company and its affiliates. References to “you,” “your” and similar words in this Waiver are to the individual registering for the Event and agreeing to be bound by the terms of this Waiver. References to “Event Operator” shall mean the third party that is hosting or presenting the online event. References to “Event” shall mean the online event that you are registering for. You hereby represent and warrant that you have all necessary right, authority and consent to enter the terms of this Waiver. This Waiver is an International Waiver, and the law of each country applies on any type of rounded agreement between two parties, therefore no matter where the person is in the whole world this “International Waiver” or “Waiver” applies to everyone willing to interact with The Quiet Room Inc. and its affiliates. This agreement “Online Event Participant Waiver” or International Waiver as referred before or Waiver present legal global rules of conduct. We honor our services with honesty, integrity, competence, service, respect, and responsibility.
2. You agree to comply with all and any event rules enforced by us from time to time which are communicated to you or made available online. The event rules may relate to our opening hours, use of our facilities and your conduct online or live.
3. We reserve the right to refuse you access to the Event and suspend, refuse, or terminate your future attendance to any Event if: (1) we reasonably consider that your conduct is (a) damaging to our reputation, (b) is in breach of this Waiver, or (c) such refusal would otherwise be in the interests of other attendees of the Event or users of the Location; (2) you do not attend an Event that was booked by you (including any class that was allocated via the waitlist) on three (3) separate occurrences; or (3) you do not sign into the Event in accordance with the Event Operator’s protocols.
4. TQR reserves always the right to cancel the Event, at any time and with or without cause and without the requirement to provide you with advance notice. TQR shall not be responsible or liable for any damages or liability because of the cancellation of the Event.
5. You hereby warrant that you are physically fit for participation in the Event and/or the activities specified in the Event description, or other activities conducted in conjunction therewith and you know of no medical or other condition why you are not capable of engaging in the Event provided by Event Operator and that such Event would not be detrimental to the your health, safety or physical condition and that you have not been advised otherwise. We are not medically qualified to assess your capability to partake in the Event, so if you have any doubts about your fitness or capability to partake in the Event, we strongly recommend that you get advice on our Free Consultation or see your doctor first. For safety reasons, you are responsible for correctly listening instructions, asking questions, and being careful and respectful using our facilities.
6. TQR provides Functional Physiotherapy Services, Events, and Classes. The content provided is reliable, to reach success. Always seek the advice of your primary physician or health provider together with us, we are a complement to your medical treatments. You might substitute your treatments from chemical treatments to natural exercises with TQR. We need to know all medications and treatments you have been through is you need us to understand how to better help you. We require team work and good communication. If you have a formal diagnosis and like to be treated holistically with TQR our treatments are your responsibility as you are the one who needs to work hard to be able to make lifestyle changes that can increase your quality of life.
7. In the event of an emergency or non-emergency situation requiring medical treatment, you agree and hereby grant permission for any and all medical attention to be administered to you, in the event of an accidental injury or illness. This permission includes, but is not limited to, the administration of first aid and the use of an ambulance. If you have any medical condition that should be known of in connection with his or her participation in the Event, this information must be provided to the Event Operator.
8. TQR shall not be responsible for any loss, theft or damage to your personal property caused by or in connection with your participation in the Event, unless caused by the gross negligence of willful misconduct of TQR. You assume all risk of loss of or damage to any of your personal belongings.
9. In participating in the Event and/or using the facilities at the Location, you agree to release and discharge TQR, its directors, employees, volunteers and supervisors, from any injuries sustained by you as a result of participation in this Event. You further agree to indemnify and hold harmless, TQR, any of its employees, volunteers and supervisors, facilities and owners of TQR against any liability incurred as a result of such injury or loss. You acknowledge and understand that any content provided in an Event is for general informational or educational purposes only and is provided AS IS. TQR makes no representations as to the accuracy of information presented and TQR shall have no liability for any error or omissions. Under no circumstances should any content provided herein be construed as professional, investment, legal, tax or accounting advice by TQR. The views, information, or opinions expressed during the Event are solely those of the individuals involved and do not necessarily represent those of TQR.
10. You agree to indemnify, hold harmless and defend TQR and its subsidiaries and affiliates, and each of its and their past, present, and future principals, members, assignees, managers, directors, officers, agents, employees, successors, and assigns, for and from, and against any and all claims, actions, proceedings, damages, liabilities, and expenses of every kind, whether known or unknown (including reasonable attorney’s fees), resulting from or arising out of all fines, suits, proceedings, claims, demands and actions of any kind or nature whatsoever brought by anyone (including you) howsoever arising , in connection with (1) any accident, injury, or damage to any person or property, (3) any failure on your part to perform or comply with any of the agreements, terms or conditions contained in this Waiver on its part to be performed, and (4) any act by you in connection with the Event that infringes or misappropriates on a patent, trademark, service mark, copyright, trade secret or other proprietary right of another party, including TQR. If any such claim, action or proceeding is brought against us, our subsidiaries/affiliates, or any of our past, present and future principals, members, assignees, agents, successors, or assigns, you will, upon written notice from TQR, at your expense, resist or defend such action or proceedings by counsel reasonably approved by TQR in writing.
11. TQR may provide information to you about the Event Operator. The Event Operator does not act on behalf of TQR and your participation in the Event forms an independent relationship between you and the Event Operator. You acknowledge that you are subject to the rules, regulations, terms of service, and/or related agreements of the Event and of any and all such Event Operators. You acknowledge and agree that TQR is not responsible for any third-party products or services offered by any Event Operator (“Services”). The Services are made available exclusively by each Event Operator, and TQR is not responsible for the performance of the Services and does not make any representations about the Services. You acknowledge that TQR accepts no responsibility for any damage and/or delay due to a Event Operator’s cancellations, shortages, labour disputes, machinery breakdown as well as any quarantine, government restraints, inclement weather or force majeure events beyond TQRs’ control. If you have any disputes or issues regarding a Service obtained from a Event Operator, you must contact the Event Operator directly. A Event Operator may provide goods or services that require a Event Operator to have a regulatory authorization or license. TQR does not verify, validate, or collect evidence of any regulatory information about any Event Operator. You should make whatever investigation you deem necessary before purchasing any offering from a Event Operator. Each Event Operator is solely responsible for the accuracy, care and quality of the Services being provided. TQR shall not be responsible for any Event Operator’s failure to comply with applicable federal, state and local law.
12. TQR’s liability, including but not limited to a failure of TQR to meet its obligations hereunder, shall not exceed the amounts paid by you to TQR in connection with the Event (if any).
13. Nothing in this Agreement shall be construed to grant you the right to take photographs or videos of the Event, or the right to use photographs or videos of the Event If you take photographs or videos of the Event, such photographs or videos must only capture the Event and its attendees. If you take photographs or videos of the Event, you shall grant TQR a nonexclusive, worldwide and perpetual license to such photographs or videos…
14. You hereby consent to allow TQR the use of your name, voice, image, likeness, and any and all attributes of your personality, in, on or in connection with any film, audio tape, video tape, audio-visual work, photograph, illustration, animation, or broadcast, in any media or embodiment, now known or unknown, including, without limitation, all formats of computer readable media, produced by or for the benefit of TQR in connection with the Event. You further consent to the use of your name, voice, image, likeness, and any and all attributes of your personality in any advertising or promotional material created or used in connection with the Event. You hereby confirm that you have read, understand and agree to the terms set out in the foregoing, and understand that you may withdraw your consent providing therein to the processing of any materials containing your likeness, and that if you do so, we shall no longer use such materials in the future, but that such materials may continue to appear in circulation over which we no longer have control, including any materials of the Event Operator for which we shall not be held responsible or liable.
15. This Waiver is binding upon you, your heirs, executors, legal representatives, successors and assigns. The provisions of this Waiver will continue in full force and effect even after the termination of the Event, whether by agreement, by operation of law, or otherwise.
16. If any term or provision of this Waiver is invalid, illegal or unenforceable in any jurisdiction, that invalidity, illegality or unenforceability will not affect any other term or provision of this Waiver or invalidate or render unenforceable that term or provision in any other jurisdiction. All matters arising out of or relating to this Waiver are to be governed by and construed in accordance with the laws of England. Any claim or cause of action arising under this Waiver must be brought only in courts located in London, United Kingdom, and the parties hereby consent to the exclusive jurisdiction of those courts.
17. By attending the Event, you hereby certify that: (1) you have fully and completely read and understand the foregoing assumption of risk, and release of liability; (2) you are 18 years of age or older, and there is an adult that represents you in any legal matter; (3) you understand that by attending the Event it obligates you to indemnify the parties named for any liability for injury or death of any person and damage to property caused by your negligent or intentional act or omission; (4) you have the legal right and authority to consent to, and by attending the Event, you do consent to the terms and conditions of this Waiver and hereby consent and agree to us or our affiliates capturing materials which may contain the your likeness and the processing of your personal data in accordance with this Waiver and our privacy policy which can be found online at www.groundinglife.co. You understand that by agreeing to these terms you are waiving valuable legal rights, and you have agreed to this document as your own free act and deed.
